Vendor Policy

Introduction

This Partnership Policy ("Policy") sets forth the terms and conditions governing the relationship between the owner of STA. MONICA TOUR AND TRAVEL  ("Website Owner"), and the PARTNER ("Vendor"), regarding the promotion and sale of travel and tour packages on the Website Owner's platform.

 

1. General Terms

1.1 This Policy is effective the moment the Vendor registers with the Website Owner and will remain in effect until terminated by either party in accordance with the terms herein.

1.2 Both parties agree to conduct their activities in compliance with all applicable laws, regulations, and standards.

 

2. Roles and Responsibilities

2.1 Website Owner Responsibilities:

- Feature the Vendor's travel and tour packages on STA. MONICA TOUR AND TRAVEL.

- Monitor all but not limited to descriptions, images, and booking options, prices on packages created by the Vendor.

- Administer and secure all the Vendor’s created posts.

- Ensure the integration of the Vendor's booking system with the website.

- Other responsibilities that the Website Owner may deem appropriate for the protection of its business interests.

 

2.2 Vendor Responsibilities:

- Create and provide accurate and comprehensive descriptions of all travel and tour packages.

- Supply high-quality images and promotional materials.

- Ensure the booking system is compatible with the Website Owner's platform.

- Handle all customer inquiries, bookings, and transactions related to their packages.

- Maintain the quality and standard of services as described in the packages.

 

3. Payment and Commission

3.1 The Vendor agrees to pay the Website Owner a commission of 3% on all sales made through the Website Owner's platform.

3.2 Payments will be made when the payout threshold is reached, accompanied by a detailed report of all transactions.

 

4. Content and Intellectual Property

4.1 The Vendor grants the Website Owner a non-exclusive, royalty-free license to use, display, and promote the Vendor's content, including descriptions, images, and trademarks, on the Website Owner's platform.

4.2 The Website Owner agrees not to use the Vendor's content for any purpose other than promoting and selling the Vendor's packages.

 

5. Confidentiality

5.1 Both parties agree to maintain the confidentiality of any proprietary information and trade secrets obtained during the partnership.

5.2 Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party.

 

6. Quality Assurance

6.1 The Vendor agrees to provide services that meet the descriptions and quality standards presented on the Website Owner's platform.

6.2 The Website Owner reserves the right to remove any packages that do not meet the expected quality standards or receive consistent customer complaints.

 

7. Customer Service

7.1 The Vendor is responsible for handling all customer service issues related to their packages, including inquiries, bookings, and complaints.

7.2 The Website Owner will provide support for technical issues related to the website and booking system.

 

8. Term and Termination

8.1 This Policy will remain in effect until terminated by either party with due notice.

8.2 In the event of termination, all outstanding payments and obligations shall be settled within 30 days except when reasonable time requires at the discretion of the Website Owner.

 

9. Indemnification

9.1 Each party agrees to indemnify and hold harmless the other party from any and all claims, liabilities, damages, and expenses (including legal fees) arising out of or related to the performance of this Policy.

 

10. Amendments

10.1 Any amendments or modifications to this Policy must be made in writing and signed by both parties.

 

11. Governing Law

11.1 This Policy shall be governed by and construed in accordance with the laws of the Philippines.

 

Acceptance

By participating in this partnership, both parties agree to adhere to the terms and conditions set forth in this Policy.
